Ethical Business Practices Guide for Suppliers

Tenliva requires that all entities providing goods or services to us, including vendors, service providers, and contractors (hereinafter referred to as ”Suppliers”), operate with integrity and in accordance with the highest ethical and legal standards. This Ethical Business Practices Guide for Suppliers (“Guide”) outlines the minimum standards we expect from our Suppliers. It supplements each Supplier’s contractual obligations, applicable laws, and internal codes of conduct.

  1. Legal Compliance

Suppliers must comply fully with all applicable laws and regulations in the jurisdictions in which they operate, including but not limited to:

  • Finnish Criminal Code (39/1889) – especially regarding bribery, corruption, and fraud;
  • Finnish Occupational Safety and Health Act (738/2002);
  • Finnish Employment Contracts Act (55/2001) and other relevant labour laws;
  • Finnish Equality Act (1325/2014) and Non-Discrimination Act (1325/2014);
  • Finnish Environmental Protection Act (527/2014);
  • EU General Data Protection Regulation (EU) 2016/679 – GDPR;
  • Finnish Data Protection Act (1050/2018).

Suppliers operating in other jurisdictions must comply with the laws applicable there as well.

  1. Commitment to Labor and Human Rights

Tenliva is committed to promoting human rights and fair treatment in its supply chain. We expect Suppliers to:

  • Prohibit forced and child labour, human trafficking, and all forms of involuntary work, in compliance with international standards such as the ILO Conventions and Finnish human rights law.
  • Ensure fair wages and working conditions in line with Finnish collective agreements and labour legislation.
  • Promote equal opportunity and diversity, and avoid any form of discrimination or harassment.
  • Provide a safe and healthy workplace, complying with the Finnish Occupational Safety and Health Act and relevant EU directives.
  1. Upholding Ethical Standards

Suppliers must conduct their business ethically, including:

  • Anti-corruption and bribery: Strictly prohibit any form of bribery, facilitation payments, or corrupt practices. Compliance with the Finnish Criminal Code and international anti-corruption laws is required.
  • Intellectual property: Respect Tenliva’s intellectual property and that of others. Any unauthorised use is prohibited.
  • Data protection and confidentiality: Handle all personal data and confidential information in compliance with GDPR and the Finnish Data Protection Act. Suppliers must implement appropriate security measures to prevent unauthorised access or data breaches.
  • Recordkeeping: Maintain accurate, transparent, and complete records of all business dealings.
  • Gifts and hospitality: Avoid offering or accepting gifts or benefits that could improperly influence business decisions. All hospitality must be modest, transparent, and documented.
  • Conflicts of interest: Promptly disclose any situation that may present a conflict of interest, including close personal relationships with Tenliva employees.
  1. Environmental Stewardship

Tenliva is committed to sustainability and expects Suppliers to:

  • Comply with all applicable environmental laws, including the Finnish Environmental Protection Act and EU environmental regulations;
  • Minimise environmental impact and implement responsible resource management;
  • Promote circular economy practices and reduce waste, emissions, and energy consumption.
  1. Confidential Information

Suppliers must treat all non-public information related to Tenliva as confidential. This includes, but is not limited to, business plans, financial data, customer information, and trade secrets. Disclosure is only permitted with prior written authorisation or as required by law. Confidential data must only be used for fulfilling obligations under the agreement with Tenliva.

  1. Raising Concerns

Suppliers are encouraged to report any unethical conduct, suspected breaches of this Guide, or other concerns to their point of contact at Tenliva or via [email protected]. All reports will be handled in confidence, and Tenliva commits to investigating them thoroughly.

  1. Enforcement and Review

Tenliva reserves the right to:

  • Assess Supplier compliance with this Guide;
  • Take corrective actions in the event of non-compliance, which may include suspension or termination of the business relationship;
  • Update this Guide periodically. Suppliers will be notified of any material changes.
